Sharing Jesus in Asia - Articles of IncorporationThe undersigned, natural persons over the age of eighteen years, desiring to form a non-profit non-stock corporation in accordance with the laws of the United States of America and all Virginia state and local laws, pursuant to Chapter 10 of Title 13.1 of the Code of Virginia, do hereby certify as follows: Article I: NAMEThe name of the corporation will be “Sharing Jesus in Asia.” Article II: PURPOSEIt is the mission, duty, and purpose of Sharing Jesus in Asia to fulfill Jesus’s call to “Go into all the world and preach the good news to all creation,” Mark 16:15. In addition to evangelism and prayer, it is expected that this preaching of the good news will include feeding the hungry, helping the poor, binding up the brokenhearted, proclaiming freedom for the captives, release from darkness for the prisoners, and comforting those who mourn. Sharing Jesus in Asia is organized exclusively for charitable and religious purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Article III: PRIVATE NONOPERATING FOUNDATIONSharing Jesus in Asia will distribute as charitable gifts and grants all donations it receives after deduction of expenses and debts in accordance with the purposes set forth in Article II hereof. Sharing Jesus in Asia accomplishes its charitable purposes solely through a program of making such charitable gifts and grants, and does not operate, conduct, or administer its own direct charitable activities. Sharing Jesus in Asia will distribute its income for each tax year at a time and in a manner as not to become subject to the tax on un-distributed income imposed by section 4942 of the Internal Revenue Code, or the corresponding section of any future federal tax code. Article IV: PROHIBITED ACTIVITIESNo part of the net earnings of Sharing Jesus in Asia will inure to the benefit of, or be distributable to its officers, or other private persons, except that Sharing Jesus in Asia will be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article II hereof. No substantial part of the activities of Sharing Jesus in Asia will be the carrying on of propaganda, or otherwise attempting to influence legislation, and Sharing Jesus in Asia will not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, Sharing Jesus in Asia will not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by a corporation, donations to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Sharing Jesus in Asia will not engage in fundraising campaigns. Sharing Jesus in Asia will not produce unrelated business income. Sharing Jesus in Asia will not engage in any act of self-dealing as defined in section 4941(d) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Sharing Jesus in Asia will not retain any excess business holdings as defined in section 4943(c) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Sharing Jesus in Asia will not make any investments in a manner as to subject it to tax under section 4944 of the Internal Revenue Code, or the corresponding section of any future federal tax code. Sharing Jesus in Asia will not make any taxable expenditures as defined in section 4945(d) of the Internal Revenue Code, or the corresponding section of any future federal tax code. Article V: DISTRIBUTIONS UPON DISSOLUTIONUpon the dissolution of Sharing Jesus in Asia, assets will be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or will be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of will be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of Sharing Jesus in Asia is then located, exclusively for such purposes or to such organization or organizations, as said Court will determine, which are organized and operated exclusively for such purposes. Article VIII: REGISTERED AGENT AND REGISTERED OFFICEThe name of Sharing Jesus in Asia’s initial registered agent is David Wilens, who is an individual and a resident of Virginia and an initial officer of Sharing Jesus in Asia. The address of Sharing Jesus in Asia’s initial registered office, which is identical to the business office of the initial registered agent, is: ... Reston, VA 20190. The registered office is located in the County of Fairfax. Article IX: ELECTION OF OFFICERSThe officers will elect their successors. The manner in which the officers will be elected or appointed will be provided in the Bylaws of Sharing Jesus in Asia. Article X: INDEMNIFICATIONSharing Jesus in Asia does indemnify any officers and employees from any liability regarding Sharing Jesus in Asia and the affairs of Sharing Jesus in Asia, unless the person fraudulently and intentionally violated the law and/or maliciously conducted acts to damage and/or defraud Sharing Jesus in Asia, or as otherwise provided under applicable statute. Article XI: STOCKSharing Jesus in Asia will not have authority to issue capital stock. Article XII: MEMBERSSharing Jesus in Asia will have no members. Article XIII: ACTION WITHOUT MEETINGThe officers may take action without a meeting as provided in the Bylaws of Sharing Jesus in Asia.
